1. Acceptance of Terms

Welcome to RoomForMe! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Entmoot Solutions LLC, a Pennsylvania limited liability company ("RoomForMe," "we," "us," or "our"), governing your access to and use of the RoomForMe mobile application, website located at roomforme.app, and all related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

The age requirement exists because:

• You must have legal capacity to enter into binding contracts
• Payment processing for Premium subscriptions requires users to be 18 or older
• The Service is designed for adult users managing their personal goals and schedules

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Immediately notify us of any unauthorized access to your account

3.2 Account Responsibility

You are solely responsible for all activities that occur under your account. You agree not to share your account credentials with any third party. We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 Third-Party Authentication

The Service may allow you to authenticate using third-party services (e.g., Google OAuth). Your use of such third-party authentication is subject to the applicable third party's terms and privacy policy.

4. Service Description

4.1 Features

RoomForMe provides an AI-powered personal goal optimization and scheduling platform designed for busy adults. Features include:

• Personal goal tracking and optimization
• AI-assisted scheduling recommendations through "Ruby," our AI assistant
• Calendar coordination and time management
• Integration with external calendar systems
• Email processing for automated event imports
• Weekly review and reflection features (premium feature)
• Activity and event tracking with customizable tags

4.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

5. Subscription and Payment Terms

5.1 Free and Premium Tiers

The Service operates on a freemium model:

• Free Tier: Provides access to basic scheduling and goal tracking features
• Premium Tier: Provides access to advanced features including AI-optimized personal goal tracking, Weekly Review functionality with Ruby as your "accountabilibuddy," and enhanced scheduling capabilities

5.2 Subscription Fees

Premium subscription fees are billed on a recurring basis (monthly or annually, as selected) and are charged in advance. All fees are stated in U.S. dollars and are non-refundable except as expressly provided in these Terms or required by law.

5.3 Payment Processing

Payments are processed through third-party payment processors. You authorize us to charge your designated payment method for all subscription fees. You are responsible for maintaining valid payment information.

5.4 Automatic Renewal

YOUR PREMIUM SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period.

5.5 Price Changes

We reserve the right to modify subscription pricing with at least 30 days' advance notice. Continued use of the Premium Tier after price changes become effective constitutes acceptance of the new pricing.

5.6 Free Trial

We may offer free trial periods for Premium features. If you do not cancel before the trial period ends, you will be automatically charged for the Premium subscription. We reserve the right to determine free trial eligibility.

6. Artificial Intelligence Features

6.1 AI-Generated Content

The Service utilizes artificial intelligence to provide scheduling recommendations, goal optimization suggestions, and personalized insights through Ruby, our AI assistant. You acknowledge and agree that:

• AI-generated content is provided for informational and organizational purposes only
• AI recommendations are based on patterns and algorithms and may not be suitable for all situations
• You are solely responsible for evaluating and implementing any AI-generated suggestions
• AI-generated content should not be relied upon as professional advice

6.2 No Guarantees

We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content. AI recommendations are subject to limitations inherent in machine learning systems and may contain errors or omissions.

6.3 Human Oversight

You should exercise independent judgment and human oversight when relying on AI-generated scheduling recommendations or goal optimization suggestions, particularly regarding matters affecting your health, safety, or well-being.

7. User Content and Data

7.1 User Content

You retain ownership of all content you submit to the Service, including but not limited to: personal schedules, activity information, personal goals, notes, event details, and any other data you input ("User Content").

7.2 License Grant

By submitting User Content, you grant RoomForMe a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, and process your User Content solely to:

• Provide and improve the Service
• Generate AI-powered recommendations and insights
• Comply with legal obligations
• Enforce these Terms

This license terminates when you delete your User Content or account, except where retention is required by law or for legitimate business purposes.

7.3 User Content Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to all User Content you submit
• Your User Content does not violate any third-party rights or applicable laws
• Your User Content does not contain harmful, offensive, or illegal material

7.4 Prohibited Content

You agree not to submit User Content that:

• Violates any law or regulation
• Infringes upon intellectual property rights
• Contains malware, viruses, or harmful code
• Harasses, threatens, or harms others
• Impersonates any person or entity
• Contains false or misleading information

7.5 Content Monitoring

While we have no obligation to monitor User Content, we reserve the right to review, remove, or modify any User Content that violates these Terms or is otherwise objectionable, in our sole discretion.

8. Data Processing and Privacy

8.1 Privacy Policy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

8.2 AI Training

We may use anonymized and aggregated data derived from User Content to improve our AI models and Service functionality. Individual User Content will not be used to train AI models without explicit consent, except in anonymized and aggregated form that cannot identify you.

9. Third-Party Integrations

9.1 Calendar and Email Integration

The Service may integrate with third-party calendar systems and email providers. Your use of such integrations is subject to the applicable third party's terms of service and privacy policy.

9.2 Third-Party Services

We are not responsible for the availability, accuracy, or content of third-party services. Integration with third-party services does not constitute our endorsement of such services.

9.3 Authorization

By connecting third-party accounts, you authorize us to access the necessary information to provide the Service. You may revoke these authorizations at any time through your account settings or the third-party platform.

10. Intellectual Property Rights

10.1 RoomForMe Property

The Service and all of its contents, including but not limited to software, code, user interface, graphics, logos, the Ruby AI assistant character design, text, and the overall "look and feel" of the Service, are the property of Entmoot Solutions LLC and are protected by United States and international copyright laws and other intellectual property rights.

10.2 Brand Elements

"RoomForMe," the RoomForMe logo, "Ruby," and other distinctive brand elements used in connection with the Service are proprietary to Entmoot Solutions LLC. Unauthorized use of these elements may violate applicable laws. You may not use these elements without our prior written permission.

10.3 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes.

10.4 Restrictions

You agree not to:

• Copy, modify, distribute, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use automated systems (bots, scrapers) to access the Service
• Remove or alter any copyright or proprietary notices
• Use the Service for any commercial purpose without authorization
• Frame or mirror any portion of the Service
• Use the RoomForMe name, logo, or other brand elements in a way that suggests endorsement or affiliation without permission

10.5 Feedback

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without compensation or attribution to you.

11. Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Transmit viruses, malware, or other harmful code
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest information about other users without consent
• Use the Service to send spam or unsolicited communications
• Exploit the Service for competitive purposes

12. Disclaimers

12.1 AS-IS Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

12.2 No Professional Advice

THE SERVICE IS NOT INTENDED TO PROVIDE MEDICAL, PSYCHOLOGICAL, LEGAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE. Ruby's AI-generated suggestions and insights are for informational purposes only and should not replace consultation with qualified professionals.

12.3 No Guarantee of Results

We do not guarantee that the Service will help you achieve your personal goals, improve personal organization, or produce any specific outcomes. Success depends on factors beyond our control.

12.4 Service Availability

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify or discontinue the Service at any time.

12.5 Third-Party Content

We are not responsible for the accuracy, reliability, or content of third-party integrations, links, or information accessed through the Service.

13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOMFORME, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any unauthorized access, use, or alteration of your transmissions or content
• AI-generated recommendations or scheduling suggestions
• Integration failures with third-party services

13.2 Liability Cap

IN NO EVENT SHALL ROOMFORME'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO ROOMFORME IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13.3 Basis of Bargain

You acknowledge that these limitations of liability are a fundamental basis of the bargain between you and RoomForMe and that we would not provide the Service without these limitations.

14. Indemnification

You agree to indemnify, defend, and hold harmless RoomForMe, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.

15.2 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@roomforme.app and attempt to resolve the dispute informally for at least 30 days.

15.3 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Except for disputes that qualify for small claims court, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration in accordance with the American Arbitration Association's Consumer Arbitration Rules.

You and RoomForMe agree that:

• Arbitration will be conducted on an individual basis only
• CLASS ACTION WAIVER: You waive any right to participate in a class action lawsuit or class-wide arbitration
• The arbitrator may award relief only in favor of the individual party seeking relief
• Arbitration will take place in Pennsylvania or another mutually agreeable location
• Either party may seek injunctive or other equitable relief in court for intellectual property infringement

15.4 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to legal@roomforme.app within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.

15.5 Venue

If the arbitration agreement is found unenforceable or if you opt out, you agree that any legal action shall be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to personal jurisdiction in such courts.

16. Term and Termination

16.1 Term

These Terms remain in effect while you use the Service.

16.2 Termination by You

You may terminate your account at any time through your account settings or by contacting support. Upon termination, your right to use the Service ceases immediately.

16.3 Termination by RoomForMe

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Fraudulent or illegal activity
• Extended period of inactivity
• Requests by law enforcement or government agencies
• Technical or security issues

16.4 Effect of Termination

Upon termination:

• Your license to use the Service terminates immediately
• You remain liable for all amounts due through the end of the current billing period
• We may delete your User Content after a reasonable period
• Sections intended to survive termination (including but not limited to Sections 7, 10, 12, 13, 14, 15, and 17) shall survive

16.5 No Refunds

We do not provide refunds or credits for partial subscription periods, except as required by law.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RoomForMe regarding the Service and supersede all prior agreements.

17.2 Amendments

We may modify these Terms at any time by posting revised Terms on the Service. Material changes will be notified via email or prominent notice within the Service at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

17.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, natural disasters, or government actions.

17.7 Headings

Section headings are for convenience only and shall not affect interpretation of these Terms.

17.8 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly provided herein.

17.9 Export Control

You agree to comply with all applicable export and import control laws and regulations in your use of the Service.

18. Age Requirement

RoomForMe is intended for use by adults 18 years or older who have legal capacity to enter into binding contracts. The Service is designed as a personal goal optimization and scheduling tool for adult users.

Users may choose to create calendar events with any content they wish, including events related to family members or dependents, but the Service itself does not collect or store information about individuals other than the account holder.
